General Business Terms and Conditions for EP’s


  1. General Provisions

These General Business Terms and Conditions for EP’s apply to the use of the Platform “The School of Bionatural Medicine Entrepreneurship Programme” (subsequently referred to as “The School of Bionatural Medicine Entrepreneurship Programme”) of The School of Bionatural Medicine (subsequently referred to as “SBNM”) and also regulates the contractual obligations related to the marketing of online advertising placements between advertising space operators (subsequently referred to as “EP’s”) and Allocated Business Managers (subsequently referred to as “ABMs”).

The School of Bionatural Medicine Entrepreneurship Programme allows the EP’s to access its network of ABMs who have the goal of marketing the products and services of the EP’s and win new clients for said EP’s.

The ABMs provide Promotional Content media in the form of text links, banners etc. for EP’s to use. The EP’s may use and display such Promotional Content media on their Advertising Space, for instance, websites, or on e-mails or any other online advertising to market the ABMs’s products or services.

Promotional Content media is made available on The School of Bionatural Medicine Entrepreneurship Programme Platform and an affiliate program (subsequently referred to as “Program”) is set up on the Platform to allow EP’s to run advertising campaigns with the aim to bring new clients to both them and ABMs.

If the Entrepreneurs’ advertisement is successful, and the ABMs acquires a new customer or sells one product, the ABMs shall remunerate The School of Bionatural Medicine Entrepreneurship Programme and The School of Bionatural Medicine will pay the EP’s the agreed remuneration (subsequently referred to as “Commission”). The type and amount of the Commission paid to EP’s are visible on the Platform.

  1. Platform Participation Rules2.1. Each EP is aware of the applicable law especially in regard to online marketing. The EP’s ensures that all commercial and regulatory requirements for online marketing activities are fulfilled and proven on request, especially in the relation to the specific markets where the EP’s operates.2.2. EP’s must first join The School of Bionatural Medicine Entrepreneurship Programme platform and by joining, they accept the present General Business Terms and Conditions for Entrepreneurs.2.3. To join the platform, EP’s must have a bank account.2.4. The School of Bionatural Medicine Entrepreneurship Programme reserves the right to reject an EP’s application without having to explain the reason for the rejection.2.5. Once accepted into the Platform, EP’s must then apply for ABMs before they are allowed to advertise products and services. ABMs have the right to reject the EP’s application. ABMs have no obligation to explain the reason for the rejection. During the application process, the EP’s must provide details of their Advertising Space, and these might be checked against the prerequisites of the Program.2.6. Should the Advertising Space listed in the registration process or in the application for a specific partner program not correspond to the Advertising Space actually available, The School of Bionatural Medicine Entrepreneurship Programme is entitled to block the EP’s account immediately and all pending commission will not be paid out.2.7. In submitting their application for a Program, EP’s accept any additional conditions for participation which are displayed in the context of each program. These conditions will become an integral part of this contract. ABMs may change their program conditions at any time. The EP’s is solely responsible for ensuring it is aware of any changes to the program conditions.2.8. Should the EP’s violate any of the program conditions, The School of Bionatural Medicine Entrepreneurship Programme is entitled to block the EP’s account immediately and all pending commission will not be paid out.2.9. The School of Bionatural Medicine Entrepreneurship Programme offers its EP’s the opportunity to integrate the affiliate Programs to their website using the provided white label comparison tools (The School of Bionatural Medicine Entrepreneurship Programme tools). EP’s might use these tools to lead new customers to the ABMs’s website and are rewarded as defined in the contract signed by the ABMs and The School of Bionatural Medicine Entrepreneurship Programme and visible on the Platform on the program’s conditions.

    2.10. The tracking links and any coding embedded within the tools cannot be utilized, under any circumstance, anywhere else but within the tools themselves. Concretely, EP’s are not allowed to use any tracking links that derive from the tools on any other Advertising Space they own (for example, banners or text links).

    2.11. Any violation of this will result in the Commission not being paid to the EP’s for all leads/sales generated through the white label tool. The School of Bionatural Medicine Entrepreneurship Programme reserves the right to terminate the agreement immediately as a result of the EP’s generating leads/sales in the way explained in point 2.10.

  2. Obligations of EP’s3.1. By applying to a partner program and incorporating the advertisement into their Advertising Space, EP’s confirm that their Advertising Space and the advertising activities as a whole:
    • Do not infringe any rights of third parties (in particular, without limitation, copyrights, trademark rights, personal rights, or similar rights).
    • Do not violate any other provisions of the law (in particular competition law), do not endanger the democratic constitution, do not glorify violence, racism, pornographic content, or corrupt youth.

          3.2. The EP’s must respect the prohibition of unsolicited advertisement (“Spam”) when sending e-mails           containing Ad Media. Therefore, the consent of each and every recipient is to be obtained prior to sending e-mails; The School of Bionatural Medicine Entrepreneurship Programme reserves the right to ask the EP’s to provide written evidence that such consent has been granted.

3.3. The EP’s must not use keywords containing legally protected terms such as trademarks of the ABMs, SBNM and SBNM Partners, or any competitors (“brand bidding”), unless the aforementioned has expressed their permission. In regard to medical products provided by SBNM and third parties, terms such as “It cures,” “It can cure you,” or “It will heal ________” cannot be used.

3.4. Sub-Network of EP’s – EP’s who operate as sub-networks of other affiliates themselves guarantee to  communicate these Terms and Conditions to their Sub-EP’s and to monitor and enforce compliance. EP’s will be held responsible and liable for the conduct of their Sub-Entrepreneurs, especially regarding GDPR compliance.

3.5. EP’s must comply with all regulations applicable to the markets where they operate, promote products, or are based. This includes full compliance with GDPR regulations and their implications.

  1. Misuse4.1. Any form of misuse, including unfair methods or inadmissible means that violate applicable laws, is prohibited.4.2. Misuse includes, but is not limited to:
    • Fraudulently pretending or faking business transactions, such as entering unauthorized third-party data.
    • Using Ad Media for tracking that is not displayed as stipulated by the ABMs.
    • Brand bidding violations.

    4.3. Any misuse will result in immediate account blocking. EP’s may object within one month, providing evidence that advertising activities were in accordance with the Terms. If the breach is not disproven, termination will follow.

  2. Remuneration5.1. EP’s will receive performance-related remuneration (“Commission”), determined by the respective affiliate system conditions.5.2. Commission payment depends on:
    • Business transactions completed via Advertising Space.
    • Valid tracking and ABM approval.
    • Final ABM validation and invoice payment.

    5.3. Payments are made monthly in the platform’s currency unless otherwise arranged in writing.

  3. Term of Agreement and Termination6.1. This agreement is for an indefinite term and may be terminated at any time in text form.6.2. Any validated and paid business transactions at the time of termination will be paid to the EP’s.6.3. EP’s may not directly or indirectly engage with ABMs introduced through the platform without prior existing relationships. Violations incur a penalty of up to GBP 30,000.
  4. Warranty and Liability7.1. The School of Bionatural Medicine Entrepreneurship Programme offers services to the best of its knowledge but does not guarantee accuracy, completeness, or uninterrupted availability.7.2. Liability for damages is limited to premeditated or gross negligence by authorized representatives, with exclusions for indirect damages such as unrealized profit.
  5. Confidentiality

Both parties agree to maintain confidentiality of all business and operational information unless otherwise permitted by this contract.

  1. Data Protection and Cookies9.1. The School of Bionatural Medicine Entrepreneurship Programme adheres to GDPR and processes personal data solely for program management.9.2. Cookies are used for secure platform access and tracking leads/sales. No personal data is stored in cookies.
  2. Right to Modification

The School of Bionatural Medicine Entrepreneurship Programme reserves the right to amend these Terms and Conditions at any time.

  1. Final Provisions

11.1. These Terms and Conditions are subject to UK law.

11.2. London shall be the jurisdiction for all disputes arising from these Terms.

11.3. If any provision is found ineffective, the remaining provisions remain valid, and ineffective provisions will be replaced with valid ones serving the same purpose.
